I think that's a good question. The honest answer is idk. Here's what Google says about the nol carry forward restrictions during changes in ownership. My speculation as to what that would look like for former shareholders would be a pro rata distribution of the emerging entity on a 50/50 basis. If you owned 2% of the old company, you'll be distributed 1% of the emerging entity. How that math adds up with all of the fraud settlements and naked/synthetic shares floating around is a complete mystery to me.
