UCLA probably "wins" their fight with the Rose Bowl. The contract doesn't have a specific penalty for breaking the lease, so a court will have to calculate probable damages.
The Rose Bowl is limited by law to fifteen events per year. UCLA home games are six or seven of those, the Rose Bowl Game is one, and the rest are things like concerts and soccer friendlies. If UCLA pulls its six or seven home games, the Rose Bowl likely will be able to easily schedule replacement events, especially given the low number of events permitted per year. What more, the replacement events almost certainly would pull in larger crowds than UCLA football does. By sucking so bad lately, UCLA has set themselves up for getting out of the contract due to their own low attendance (under 15k several times).
The Rose Bowl already had to make upgrades for the Olympics so those can't be pinned on UCLA. In the end, it's likely UCLA and the Rose Bowl settle for a much smaller amount than the rent payments UCLA was going to make over the rest of the contract. My guess is around $10 million and the Rose Bowl ends up in a better situation due to being able to have replacement events that are more lucrative.
