DoW games worked because they were story-driven and focused on specific factions and races on a planet/planets.
If they want to make a TW40K, then they must focus on a sub-sector (not a sector since it would be the size of 200 light years). Like the Kaurava or Aurelia sub-sectors. And make the campaigns there more story-driven.
And don't get me started with the mechanics. 40K is squad based as compared to WHFB's regiment-based style. They would have to dump a good chunk of the TW formula and replace it with wholly new mechanics including moving through cover, utilizing city ruins and more.
Not to mention that such a game would be immediately shit if it didn't feature all types of Titans up to including anything on the level of a Imperator-class Titan.
Because when one thinks Total War, they immediately think large if not MASSIVE battles. And despite 40K being a squad-based skirmish game, it has in lore massive apocalyptic wars from its background with the War in Heavens to present day with current factions and races. Not to mention Epic Warhammer 40K and Apocalypse bringing some of this massive scale to tabletop.
Thus if they won't make a 40K game big enough to accomodate Titans as controllable units (and no, not as background units, not as some abilities for commanders and such, but ACTUAL UNITS you can recruit, include into your army and control on the battlefield), then it will be a shit 40K game.
