You think if Microsoft approached Nintendo (or a different publisher even) or vice-versa over the rights to Banjo-Kazooie it'd end up being a package deal for Rare's entire IP catalog?

Also in the case that it'd be Nintendo there'd also be the rights to Jetpac which for the longest time was speculated to be why DK64 couldn't be re-released

there isn't really much value in the IP anymore and I don't think Nintendo would waste money on what is essentially still a 3rd party series.

It's just a hypothetical
Nintendo's only incentive would be securing rights to re-release old games but other than that (something they could always negotiate for regardless of whoever's currently owning the IP), there's no point in owning a catalog of IPs they can't even work with whether it'd be their personal investment or lack of available manpower to support

Because of the nature of Rare's games referencing and explicitly using other IPs made and owned by the studio, would a scenario in which Microsoft would sell an IP like Banjo Kazooie escalate to a package deal to prevent further legal confusion?

First of all: no. Why would Microsoft ever give anything away for free.

Secondly. Any studio could make a game with any IP you want. Do you want to make a Mario game? Just come up with an orginal concept for a game thats would fit with Mario as a character and pitch it to Nintendo. If it's good, they'll produce it. It's happened many times before. The same can be done with Microsoft IPs, but they'll be more reluctant to give you a chance.

I mean, it's happened before
When Disney bought the Fox Kids brand from Saban they also got their IPs like Power Rangers, VR Troopers, etc
Disney had.....zero idea on what to do with Power Rangers and sold everything back to Saban eventually
Saban would go on to try (and fail miserably) to recreate his success in the 90's only for the 2017 movie to flop leading to Hasbro buying Power Rangers (and literally everything else Saban owned) for 52 million
They had plans ONLY for Power Rangers (until the guy whose idea was to buy the IP literally got cancer and died which led to Hasbro being confused on what to even do with the IP) but still had to buy VR Troopers, Beetleborgs, My Pet Monster, etc as part of the deal even if all those other less popular, "unnecessary" IPs were just in the way and likely just inflated the total cost to acquire the one IP they did want
Bare in mind, Haim's an infamous greedy bastard so he could just an exception to the rule when it comes to these cases
When Square Enix were open to selling Eidos for cheap they let Embracer pick and choose what they wanted (Deus Ex, Thief, Tomb Raider, Legacy of Kain, and some soccer management simulation but not Gex which Square Enix still owns)

You can't re-release Banjo-Tooie without owning or securing permission for Sabreman cause he's literally in the game

They did re-release Diddy Kong Racing by simply replacing most of the cast.
