Honestly, Henya and the rest of the VShojo family could easily be on the hook for at least negligent misrepresentation.
They were out there hyping up merch that turned out to be fake, which is basically false advertising. And let's be real, they didn’t bother doing their due diligence before shilling it.
What’s worse is how long it took them to respond. It supposedly took them several months to a year to realize they were part of a scam, which sounds more like they were turning a blind eye than actually being clueless.

I doubt it. The talents themselves weren't personally taking the money. Nor were they paid for any of the merch.
The courts are gonna follow the money. And it won't be the talents that it went to. The talents will most likely be fine unless they got paid... maybe Melody since she was fucking/dating the COO. Melody most likely got paid unlike the other talents.

Those that got paid and whoever the money went to will get in trouble. Like gunrun, the employees and COO that left. They are all in hot water. Even more crazy is that they refuse to file for bankrupcy. They purposely holding onto Mouse's songs as if they have owneship of all of it. Meanwhile all the talents HAVE to pay taxes on all the money that they are still owed by Vshojo since they haven't filed for bankrupcy yet.

That’s not how it works, especially in this situation.
Maybe they were in the dark at first, but once they knew and kept quiet or stayed involved, they became part of the issue.
Even if they were misled too, promoting fake merch still puts legal responsibility on them.
If they weren’t lying, their biggest mistake was doing nothing, especially since this went on for months and plenty of people were complaining about bad or missing orders.

You don't have to pay taxes on money you never received. You can declare money you are owed, but you don't owe taxes on it unless you do so, or have actually received it. Also while you can declare some money when you are owed it, and some money when you received it, such as to manipulate your tax bracket at the end of the year, you should stick to one method or the other. Doing that kind of thing is a potentially dangerous accounting trick.

Though maybe the laws are different where you live.

When their concert had issues, even though it wasn’t their fault, they gave full refunds and made the whole thing free. They took the hit so fans wouldn’t get screwed over.

Kson herself said had to pay taxes on money she hasn't gotten yet as if she was paid. Legal Mindset said she will get that back only AFTER Vshojo files for bankrupcy... but nobody knows why they haven't done so yet.

Imagine working as a floor associate for Sears and having people blame you for their order they placed not being fulfilled when the branch went under. Like you lost your job, they stiffed you on your last paycheck, customers are blaming you, and you already told them how they can get their money back.
From what Geega is saying they can't even provide a list of people who bought stuff or an inventory of what merch they still have. For Henya's merch every order, up to the bunny stuff, was fulfilled, just slowly, and their was no indication that new orders wouldn't be fulfilled (VShojo posted in Jan about swapping merch providers to get stuff out faster). There's literally nothing the talents can do now but continue to push the company to provide something (order info, sell already manufactured merch to them, etc), and from what they're all saying VShojo is radio silent. People forget they joined VShojo so they didn't have to manage or worry about this stuff and the company would handle it. They didn't know about issues like this by design, it's why they let VShojo take a cut (Apparently all of it), they were supposed to handle it.

And people are acting like a chargeback is hard. It's easier than getting a refund from literally any company. There won't be a class action lawsuit because you have the opportunity to remedy your losses (with truly minimal effort) and are just choosing not to. No damages, no lawsuit. Posting here is more effort than it'll take fans to get their money back, if you can't figure it out it's just a tax for you being stupid I guess.
