this is indeed a reality that's happening to a lot of smallcaps right now. I'm not relying on it as my thesis, the fundamentals are what matters in the end, making a good eps, any buyout at a +30% premium is just a potential bonus so im not going to put much weight on the CEO recently selling enough of their shares to exerce their options *early* and increase their total share count in the end now presumably so they'd be eligible for longterm capital gains next year lmao -> wasnt too interested before i saw the fallout from the insider selling despite the actual details of it, was able to buy on lower price thanks to that.

the most recent buyout i am actually aware of is CTLP, guess what they do lol, vending machines. IDN has very similar aspects to it, niche monopoly that a bigger player will want to buy out to complement their own packaged products

that should be the next step in an actual bubble. Overpriced bigger company will be raising capital by issuing their overpriced shares -> expand by just buying out smaller companies. Eventually Russell 2000 index will become inflated and we'll all be in a really painful bubble

All of these business are bad businesses , either consitently lose money or have razor thin margins or really large cost of revenue.

Returns on capital matter because it gives you an idea if the company is actually making a return better than putting the money in a treasury note. Most of these companies have worse returns than sticking money in a treasury note.
If they dont have good margins or roic there is no growth and the money that gets reinvested in the business doesnt bring good returns to the shareholders. Eps langish and so do the stocks .
Even someone like googl has a pe of 15 , profit margins of 40 percent and roic in the mid 20s, with yoy growth of 20 percent of revenue.
Crecendo has a pe of 55, profit margin of 10% , and roic of 5% with bery little growth. It is a dogshit company and i would rather spend my money on a treasury note

A single contract win can suddenly push them into a growth inflection that renders all that useless, and it's not necesarilly hoping for this or that but simply just the fact that they're smallcaps means that certain developments in the industry or certain mandates can't get priced into their value because institutions cannot price it in.
For ai dashcams for example you can see that coming as early as 2023 because of the FRA mandates, but it wasn't getting priced in and a single contract can make it outperform SPY by miles, they don't have to win a majority of the TAM to 3x

you're looking at past performance when i'm looking at their value and performance now irrespective of that. I'm buying CXDO now, not at its 2020 peak or some shit, they're a garbage value then, and their pricing power to grow against Cisco/Microsoft was a more recent development
