The contrary actually, the debt that Paramount would use to merge with WB would be saddled into the debt of Warner. Ellison is not cutting a check and paying with his own money to acquire Warner.

Far from over. This is just the first round of negotiations after their initial bid got rejected for being too low of a price. Notice how Warner never specified that Paramount's business strategy or structure would be unfit for theirs. The debt that they're carrying right now is no joke, even with the latest string of good flicks, it's still not enough to eradicate the debt. That's why Zaslav thinks he can annihilate the debt much quicker by splitting WB in half, saddling the rest of the debt too unsustainable to manage to the cable-side of things, while likely snatching up a huge profit boost once this new WB gets acquired by another tech giant.

This entirely depends on how determined Ellison is to buy WB. If so, he wouldn't just throw in the towel so quickly.

Because while Ellison is a billionaire thanks to his ownership of Paramount, it was only because his dad, Larry Ellison, who helped out finance the deal and rub shoulders with Trump for to to happen. Larry Ellison is way wealthier than his son because he owns Oracle, a tech company that recently got some deals done by the US gov. worth hundreds of billions of dollars on top of other deals made with other tech companies worth as much, that's not including outside investments either.

The thing here is that while David Ellison is very well connected to his father's tech money, he's still his dad, and I think we all know that most fathers don't want to keep bailing out their sons for their own ventures. He'll still help finance some of the amount needed, but David would still need to come up with the rest of the cash by himself, especially since his dad put most of the effort in making sure he was able to buy out Paramount in the first place.

Even here, we regularly get people angrily asking why Disney hasn't made an X-Men movie yet, and still 100% convinced the sole reason why they spent all that money acquiring the entire library of Fox properties was just to get the rights to X-Men and Fantastic Four, two Marvel properties whose movies were largely performing worse than the Marvel properties Disney already had.

There's also the types of people who genuinely want Disney to buy Warner, Paramount, Hasbro, etc, just to get all the properties they love under one roof just for the potential crossovers.

It never sounded plausible that they'd buy EVERYTHING Fox owned just to get the rights to two Marvel properties that their own movies were already doing better than. The MCU was on top of the world back then, they didn't NEED FF or X-Men at all. This would be the equivalent of them buying the entirety of Sony just to get Venom and Morbius out of it.

Most people who liked the idea assumed Disney+ was going to get the entire Fox catalog and then have everything from X-Files and Married with Children to all the old Fox 90s Prime Time things like Martin and Living single and Fox Kids stuff. The Marvel properties, and Feige's hopes of getting them into the MCU, may have factored into the purchase of Fox, but Deadpool was the only one of those properties that was actually making money on a comparable level to the Marvel properties Disney already had. Inhumans has nothing to do with it, they had Avengers, Iron Man, Guardians of the Galaxy, Captain America, Black Panther, etc. By the time of the Fox deal, properties like FF, X-Men and Wolverine were usually performing well below the average MCU movie. Disney simply didn't need them, and would never have spent all that money just to get them. It was obviously the whole library of Fox properties they wanted.
