I think it comes down to their business model becoming outdated because the indie network has gotten so strong.
The "infrastructure" they provide with merch deals and stuff is no longer something that indies can't also do. Basically it's the same reason people are leaving 'real' corpos to go indie; except the upsides/downsides weighing is extremely light on both ends rather than extremely heavy.
