It's different. China bought the company when it was bankrupted in 2018 for 3.06B USD and now their annual profit is above 2B USD a year.
The Dutch government claim they are doing it to prevent the company from being blacklisted as a "Chinese company" and therefore subject to embargoes by all countries that are still under American military occupation (like the Netherlands itself).
This sounds more like a scheme to preembargovent an embargo than an actual takeover because this company is only profitable because they can buy cheaper rare metals straight from China; without them, they would be doing fuck all.

Well, it turns out that the owner of Nexperia, some guy called Wing (Zhang Xuezheng), wanted to prop up some other ailing company of his, WingSkySemi. He was trying to force Nexperia to make a massive order at that company. When people started to object in Nexperia, they got fired and replaced by lackeys. Then the ministery of trade got wind of it, and used the law to freeze the companies trading. After that, the overarching, European board of the company fired Wing. Wing then went crawling to the Chinese government, who promptly froze all trade with Nexperia. In the years prior, Nexperia was in talks with the Dutch government to get more independent from the Chinese anyway, to avoid tarrifs mainly, and be more NL/EU orriented. Turns out having a Chinese CEO was one of the barriers. Which is now gone.

The Chinese CEO forced Nexperia into signing a stranglehold contract with his own foundries back in China for over double the wafer production Nexperia actually needed, AND demanded 70% upfront payment. When several other people in key stakeholder positions such as their chief financial officer caught wind of these things and wanted to caution against these tactics, they were fired by the CEO personally - on the spot.

First of all:

Read about the Comprehensive Agreement for Investment (CAI) treaty between China and the EU.
