Harry didn't ask her out before Cedric did, and then Cedric's death caused the relationship to have an unhealthy foundation.
Maybe if Cho got some kind of therapy for about a year in between, and then started dating Harry in the next book instead of Ginny, then it could have worked, if the Cedric-related trauma was more manageable and she wasn't thinking about it all the time when she was with Harry
