CEOS dont decide their compensation packages, BoD does. That does not mean the CEO cannot make demands and have allies, but its still not their decision.

Also, being the red does not have to be an influener on stock price, and that it the only thing that matters in a publicly traded company. There is no legal requirement to chase short term gains at the expense of all else. CEOs have massive leeway to argue for an action that is in the long term best interest, the fiduciary duty stuff pretty much only actually comes up in cases of deliberate sabotage or fraud.

There is no legal requirement, no, but if you NOT doing that is construed as not executing your fiduciary duty, you can be sued for it. And that can include selling the company resulting in its destruction. If a PTC has a stock running at, say, $10/share, and is offered a buyout at $20/share to a competitor (and things like anti-trust are not an issue), then they have a fiduciary responsibilty to at the very least entertain it, and they only reason they would not accept it is if they could convience enough of the shareholders they could get even more money in the relatively short term by refusing it.
